This ensures continuity and respect for the agreed terms across any corporate changes. A waiver of any specific provision, breach, or default under these terms does not constitute a waiver of any other provision, breach, or default, maintaining the integrity and enforceability of the entire agreement. Customers are responsible for properly disposing and recycling electronic products and should adhere to local environmental laws and guidelines. DirectDeals shall not be liable for any failure to perform its obligations where such failure is due to Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, terrorism, or any other cause beyond its reasonable control.

- CSP (Cloud Solution Provider) Products
- ESD - Manufacturer Delivered Products
- OLP and Volume License Products
- Tangible Products, Physical or Shippable
- Select ESD - Electronic Delivery or Downloadable Products
- Select ESD - Subscription Products
Right to Modify or Discontinue Discounts
To respond to market dynamics and inventory needs, DirectDeals reserves the right to modify, limit, or discontinue any discount offer at our sole discretion and without prior notice. This flexibility enables us to manage our diverse inventory while maintaining competitive pricing and value. The existence or availability of a coupon code does not guarantee a customer’s ability or right to apply it. All coupon codes are subject to specific terms and conditions, including product eligibility, usage limitations, and expiration dates. DirectDeals reserves the right to restrict, deny, or revoke the use of any coupon code or discount code at its sole discretion without prior notice. This action may be taken for reasons including, but not limited to, changes in market conditions, inventory levels, product availability, or strategic business considerations. By using DirectDeals.com and applying coupon codes or wholesale discounts, you acknowledge and agree to these terms. Payment Terms and Security Interests
At DirectDeals, our payment process is designed to be transparent and secure, ensuring a smooth transaction for your purchases. Due to the discounted and limited quantity of DirectDeals products, Payments are processed immediately upon order confirmation to secure the product for delivery. If your order includes special orders or special delivery items, these items are not subject to return or refund. See our Refund Policy for more information. DirectDeals retains a security interest in the products sold to secure payment. Failure to pay due to default, chargeback, or dispute may result in the involuntary repossession of products or a lien against any person or business that retains the product.
To ensure the security of transactions, DirectDeals retains a purchase money security interest in the products and their associated accessories, replacements, proceeds, and related accounts receivable (collectively, the "Collateral"). This interest secures the payment of all amounts due under this agreement. In the event of non-payment, DirectDeals reserves the right to repossess the Collateral from the customer. This protective measure doesn't affect our other rights under the law. Buyers may be required to act or provide necessary documents, including financing statements, to facilitate the transfer, creation, perfection, preservation, protection, and enforcement of DirectDeals' security interest. Payments may be applied against any buyer's obligations to DirectDeals. DirectDeals can apply any payment received from the customer towards any outstanding obligations of the customer to DirectDeals. This application is irrespective of any specific designation or statement related to the payment. Acceptance of any payment does not waive DirectDeals' right to pursue the collection of any remaining balance. We reserve the right to ensure that all due amounts are duly collected.
Order Confirmation and Processing
You will receive an order confirmation when you place an order with DirectDeals. However, it's important to note that this confirmation acknowledges your order submission and does not imply DirectDeals' acceptance of your order or confirm a sale agreement. The confirmation is part of our commitment to keeping you informed throughout the order process.
How We Deliver Products
DirectDeals maintains tracking numbers for all physical shipments. Once an item has shipped, the tracking number will automatically be emailed to the shipping recipient. A signature may be required for all deliveries. DirectDeals shipping is open during regular business hours, Monday through Friday, except holidays.
Physical Products: (DirectDeals offers the following shipping options for tangible goods)
- Next Business Day: Shipped the same day if the order is placed before 1:00 p.m. CST and the product is in stock.
- 2nd Business Day: Shipped the same day if the order is placed before 3:00 p.m. CST and the product is in stock.
- Ground Service: Shipped the same or the next business day; delivery times will vary depending on several variables.
- Free Shipping: Free shipping applies to Electronic Delivery products. DirectDeals may occasionally offer a "free shipping" option on a physically shipped item as a promotional offer. Otherwise, all physical items are subject to shipping and handling charges.
International shipping is not currently available at DirectDeals unless specifically negotiated through a sales rep and laid out with a valid purchase order.
Electronic Delivery: (DirectDeals offers the following shipping options for digital goods)
Electronic Delivery products are digital products, usually software products, including games, that are sometimes delivered via email, where the product key and a download link are sent to the customer's email address on file. The customer will download the product electronically from the URL provided in the email to install the product onto their computer, then input the product key to validate the product installation and activate the software.
Review and Adjustment of Orders
Each order is subject to a review process. Upon reviewing your order, DirectDeals reserves the right to accept, decline, or apply limitations to your order. This decision may be based on various factors, including but not limited to inventory availability, pricing errors, or suspected fraudulent activity. In some instances, DirectDeals may restrict the number of items in an order or decide on restrictions per customer, household, or per-order basis. These measures are in place to ensure equitable access to our products for all customers and to maintain the integrity of our sales process.
DirectDeals Asset Management Services (AMS)
The DirectDeals Asset Management Service ("AMS") applies to all purchases of software licenses or products that require registration and licensing information to be provided to the manufacturer by the customer. This policy governs the process for managing products that require registration or compliance with manufacturer requirements. It ensures that all licenses are properly maintained and compliant while clarifying customer responsibilities and consequences for failure to comply.
The goal of the DirectDeals AMS Service is to ensure the proper management and compliance of products or software licenses that cannot be registered due to missing customer information. AMS safeguards the license, maintains availability, and ensures compliance with manufacturer requirements.
Upon purchase of a product requiring manufacturer registration, customers will receive an email containing a questionnaire to collect the necessary information. Customers must submit the requested information within 30 calendar days of the purchase date to enable DirectDeals to complete the license registration with the manufacturer. If the customer does not provide the required information within 30 days, the license will automatically be placed into the Asset Management Service (AMS) for compliance and management. DirectDeals will notify the customer via email when their license is placed into AMS.
DirectDeals will make multiple efforts to remind customers to provide the required registration information post-purchase. These efforts include email reminders and attempts to contact the customer by phone. A final email reminder will be sent a few days prior to the 30-day deadline, after which the license or product will be transitioned into Asset Management. Please note that these reminders are a courtesy and are not a mandatory obligation of DirectDeals.
The DirectDeals AMS is provided free of charge for the first 60 calendar days from the original purchase date. If the customer fails to provide the required information within 60 calendar days and the license remains unregistered, a transfer fee equal to 25% of the product purchase price will be charged starting on the 61st calendar day. This fee covers administrative costs associated with vendor updates, compliance management, and securing license ownership under the customer's name.
- Once a license enters AMS, DirectDeals actively provides a service to the customer, regardless of whether the service is free during the initial 60 days. The customer acknowledges that AMS constitutes a chargeable service, even if temporarily provided at no cost.
If a customer initiates a chargeback after their license has been placed into AMS care due to failure to provide the required registration information, the following applies:
- DirectDeals reserves the right to impose a non-refundable administrative fee of 25% of the product purchase price as compensation for services rendered under AMS and the associated chargeback handling costs.
- This fee will be deducted from any refund or settlement amount, or if no refund is applicable, billed directly to the customer.
- By completing your purchase, you agree to waive your right to initiate a chargeback for non-delivery of the original product once the license has entered AMS, as a service has been provided. These fees do not apply to delays caused by DirectDeals, the manufacturer, or circumstances beyond the customer's reasonable control.
- All applicable terms outlined in the DirectDeals Terms of Service related to the affected product remain in full effect and are enforceable.
Customers may request a refund before the license enters AMS if they cancel the purchase due to issues beyond their control. Refunds after AMS activation will not be provided unless DirectDeals or the manufacturer caused the failure to complete registration. Customers may submit an appeal regarding AMS placement or fees by contacting the DirectDeals Licensing Team within fifteen calendar days of receiving notice of the action. Appeals will be reviewed, and a response will be provided within five business days. DirectDeals will not hold customers accountable for delays in providing registration information caused by unforeseen events, such as natural disasters, major personal emergencies, or systemic issues affecting the manufacturer or distributor. In such cases, DirectDeals will work with the customer to resolve the issue in good faith.
DirectDeals will maintain a record of all customer communications, including reminders, notifications, and documentation of AMS-related actions. Documentation of the services rendered under AMS will be maintained to support any disputes or claims regarding the service. By completing a purchase with DirectDeals, the customer acknowledges and agrees to:

- Failure to comply with this policy will result in the license being placed into AMS.
- To waive the right to initiate a chargeback or refund claim for non-delivery once the AMS service is activated.

Notification and Refunds
Should there be any changes, limitations, or cancellations to your order, DirectDeals will promptly inform you using the email address provided at the time of your order. If your order, or a part of it, is canceled after a charge has been made, DirectDeals will issue a refund for the total amount of the canceled portion. This refund will be processed promptly, ensuring that any inconvenience is minimized. Once we process the refund, you should check with your credit card to see when the credit will be posted back to your account. DirectDeals has no control over this part of the transaction.
Limitation of Liability for Data Loss, Device Damage, and Installation Risks
By purchasing any product, component, part, hardware, software license, or any element thereof from DirectDeals (collectively, "Products"), the customer agrees that DirectDeals shall not be liable for any loss, corruption, or compromise of data or any damage, malfunction, or other adverse effects to any computer, network, or other device resulting from the installation, configuration, use, or failure of any Product. This disclaimer of liability applies to all aspects of the Products, including but not limited to hardware components, microchips, circuitry, firmware, software keys, and associated digital elements. DirectDeals strongly recommends that customers engage qualified and experienced professionals to install, integrate, or configure any Products purchased from DirectDeals. Installing or incorporating Products into a customer’s existing environment may require advanced technical expertise, and improper installation may lead to device damage, system instability, data corruption, or loss.
Comprehensive Limitation of Liability
To the fullest extent permitted by law, DirectDeals disclaims all liability for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to the installation, use, performance, failure, or incompatibility of any Product, including but not limited to damages for data loss, loss of productivity, device malfunction, or network downtime, even if DirectDeals has been advised of the possibility of such damages. By purchasing any Product from DirectDeals, the customer agrees to hold DirectDeals harmless from any claim, damage, or loss related to the installation, use, or integration into any system, network, or device. This waiver extends to all product components, including chips, processors, circuits, firmware, software keys, activation codes, and other integral parts or software elements.
No Warranty for Compatibility or Performance
DirectDeals makes no warranties, express or implied, regarding the compatibility, suitability, or expected performance of any Product within the customer’s existing systems or devices. The customer assumes all risks associated with the installation and operation of the products and is solely responsible for determining compatibility and suitability prior to purchase. By using the DirectDeals website or completing a purchase, the customer acknowledges and accepts this comprehensive limitation of liability as part of DirectDeals' Terms of Service. This acknowledgment includes an express waiver of any claims against DirectDeals for any damages, losses, or issues arising from any aspect of the Product’s components or usage, including data loss, system incompatibility, or device damage. This agreement serves as a binding limitation on liability and a waiver of claims, fully encompassing all parts and elements of any Product purchased from DirectDeals.
Cryptocurrency Transactions
DirectDeals does not currently accept cryptocurrency as a form of payment.
Users must comply with all relevant laws and terms governing cryptocurrency transactions if and when cryptocurrency is accepted. DirectDeals reserves the right to modify, suspend, or discontinue the acceptance of cryptocurrency at any time without liability. Users are responsible for ensuring accurate transfer details and understanding that cryptocurrency transactions are irreversible. DirectDeals disclaims any liability for losses or security issues related to cryptocurrency payments. Transactions are complete once confirmed on the cryptocurrency network. All products are priced in U.S. Dollars with corresponding cryptocurrency values, and users are responsible for any associated network fees. All transaction fees associated with Cryptocurrency transactions shall be the sole responsibility of the buyer. Cryptocurrency refunds are not provided due to market volatility. Returns will be processed as product replacements or store credit in eligible cases. Refunds, if granted, will be based on the U.S. Dollar equivalent of the cryptocurrency at the time of the refund or may be issued as store credit. This policy may evolve as market conditions and technology change.
DirectDeals' Intellectual Property Rights

Non-Returnable Items

- Software and Digital Products: Downloaded software, digital licenses, exposed product keys, opened, activated, or registered software, online subscriptions, and digital services (e.g., cloud storage, online game codes).
- Batteries and Consumables: Opened batteries, including laptop or camera batteries. Printer ink, toner cartridges, and other consumables that may have been used or partially depleted.
- Networking Equipment: Opened routers, modems, or network switches, especially those configured for use.
- Display and Screen Equipment: Opened or used projectors, monitors, and TV screens due to susceptibility to scratches and usage marks and opened screen protectors or privacy screens.
- Clearance, Sale, or Open-Box Items: Final sale or clearance items and open-box products are discounted.

Condition Requirements
All returned products must be in original, unused condition, with all parts, documentation, and packaging intact. Products that show signs of use or customer-caused damage may incur a minimum 30% restocking fee.
- An additional 15% fee will apply if a returned item is falsely represented (e.g., claimed unopened but actually used), with possible fees up to 100% of the sale price.
- Products with significant damage or missing parts may be rejected for return or refund and returned to the customer at the customer’s expense.
Fees and Shipping
- Customers are responsible for all return shipping fees. Additional storage or disposal fees may apply under Texas law if customers refuse receipt for rejected returns.
- DirectDeals requires an adult signature for most shipments. Failure to accept delivery will result in a 30% restocking fee and any return shipping charges.
Damaged Products and Shipping Claims
- If the product or packaging appears damaged, refuse delivery and contact support@directdeals.com. Take photos if damage is discovered post-delivery, and refrain from opening the package. DirectDeals will initiate a shipping claim and arrange a refund or replacement when applicable.
- DirectDeals is not responsible for delays or losses once items leave our warehouse. Customers must file claims with the shipping carrier. International shipments may incur additional fees based on the recipient country’s customs and import regulations.
Risk of Loss
Risk of loss transfers to the customer upon delivery to the shipping carrier. DirectDeals is not liable for lost, damaged, or stolen products post-delivery. Accurate customer contact information is required to facilitate precise delivery.
Returns, Refunds, and Processing
- Returns require a Return Merchandise Authorization (RMA) number, obtainable through DirectDeals Customer Service. Unapproved returns without a proper RMA number or returns to the manufacturer may be declined and lost.

Tangible Products
Tangible Products or Items
refer to physical products or goods that can be touched, moved, and physically transferred from one party to another. This includes but is not limited to, hardware, electronics, appliances, and any other physical objects available for purchase through DirectDeals. Tangible Items do not include digital products, licenses, services, or any items delivered solely in electronic format, which may be governed by separate terms and conditions.
DirectDeals allows physical products to be returned within 30 days of delivery unless specified otherwise. For assistance, initiate a return via our website, by emailing support@directdeals.com, or through your DirectDeals online account.
- New Electronics (Desktops, Laptops, Tablets, etc.) - Unopened items that arrive to the customer damaged or fail to operate on arrival qualify for a full refund within 30 days.
- Refurbished, Promotional, and Special Offer Items - Refurbished items are sold “as is” and have a 30-day warranty covering manufacturing defects only; cosmetic damages, misuse, or natural events are excluded. Defective refurbished items can be returned for a refund or exchange within 7 days.
- Software and Gaming - Unopened video games and gaming software are refundable within 30 days, subject to a possible 30% restocking fee, depending on the return circumstances. Opened, installed, or activated software and games are non-returnable and will incur a 100% restocking fee if returned.
CSP (Cloud Solution Provider) Products
CSP (Cloud Solution Provider) Products are a flexible, subscription-based way to access Microsoft software and cloud services, like Microsoft 365 or Azure, through a trusted vendor like DirectDeals. With CSP, DirectDeals manages billing, support, and setup, and you can add or remove licenses as needed. All services are cloud-based, so you can access them from any internet-connected device without installing permanent software. CSP Licenses are not refundable past the time limits specified by the product manufacturer. There are no refunds or returns on CSP products after these time limits expire. CSP products can be altered only once during a minimal time frame, so very detailed instructions must be followed before purchasing and licensing CSP products. A minimum 15% restocking fee will be imposed on all returns based on the reason and circumstance of the return. ESD products are non-refundable and non-returnable. They are permanent licenses and can not be altered once they are issued. There are no refunds on ESD licenses once they are issued. Other restrictions apply.
Electronic Software Delivery (ESD) Products
An ESD product or “Digital Download” is a one-time purchase of Microsoft software delivered digitally. With ESD, you get a license key and a download link to install the software directly onto your computer. This license is permanent for that software version, and there’s no ongoing subscription or updates unless you purchase a newer version later. All ESD products are subject to manufacturer restrictions, particularly if the software has been installed and activated. Please contact us for specific details. If your product(s) states it is delivered by an electronic delivery method or download, you will receive the required product or license key in the email you specified on your order with us. A verified email address is an address that goes to a corporate domain or a verifiable entity. DirectDeals reserves the right to deny sending products to "freemail" email accounts for electronic delivery products. Electronic Delivery products are typically delivered within minutes. After completing the checkout process, orders for both ESD – Electronic Download and ESD – Manufacturer Delivered products are processed immediately. You will receive a purchase confirmation email from DirectDeals within minutes of placing your order.
ESD – Electronic Download, commonly called “Download Product,” is usually delivered within minutes of ordering during regular business hours. After business hours, weekends, and holidays, the product keys can take up to 2 hours to be delivered. DirectDeals reserves the right to place any order on hold and ask for identification verification if our systems alert us to possible fraudulent activity. This is done for the protection of the customer as well as DirectDeals.
ESD – Manufacturer Delivered products will require clarification on end-user licensing. This requires the purchaser to complete a questionnaire with the manufacturer’s required end-user licensing information to issue the license correctly. Your prompt response is necessary, as DirectDeals cannot process your order without this licensing information. DirectDeals will make multiple attempts to obtain this information. If no response is received, DirectDeals will automatically switch your order to an ESD – Electronic Download license if a compatible option is available. This license will be delivered to the email address on file. DirectDeals will hold your ESD – Manufacturer Delivered license in escrow for up to one year if a compatible license is unavailable. If you do not take delivery of the license within this time, DirectDeals will deem the license abandoned and recover it to cover asset management fees. Please note that once product keys for ESD – Manufacturer Delivered products have been issued, returns are not permitted under any circumstances in accordance with the manufacturer’s policies. We strongly advise customers to be absolutely sure of their purchase decision before acquiring this license type, as all sales involving these software license products are final and irreversible. There are no returns or refunds for ESD – Manufacturer Delivered products once issued. If you order them by mistake, they must be canceled before being issued. Timing is critical; you may be charged for the license if you do not act. Once these products are issued to the customer, they cannot be returned. The manufacturer will not accept returns for any reason, so please ensure that the license is exactly what you need before placing your order. There are no exceptions to this policy. If you are unsure about the product, consult with one of the licensing experts at DirectDeals to see if the license you are trying to purchase is the license you need. In addition to DirectDeals support services, customers who buy ESD - Manufacturer Delivered products are also eligible for support directly from the Manufacturer, should they seek it.
Selling to DirectDeals
All purchase orders and agreements made with DirectDeals LLC are governed by the terms and conditions outlined in this document. Failure to adhere to these terms constitutes a breach of contract and may result in the purchase agreement being voided at the sole discretion of DirectDeals. DirectDeals reserves the right to exercise this discretion based on the circumstances of the breach, ensuring that our business interests are protected in full compliance with applicable laws.
Relationship of Parties
The Vendor and DirectDeals are independent contractors, and nothing in this Purchase Order shall be construed to create or imply any partnership, joint venture, franchise, employment, or agency relationship between the parties. Neither party has, nor shall represent that it has, any authority to bind, obligate, or act on behalf of the other party in any manner whatsoever. Each party is solely responsible for its obligations, actions, and liabilities arising from or related to the performance of this agreement.
Acceptance
The purchase order, to include any verbal or written agreement to purchase a product or service together with the terms herein (the "Purchase Order"), constitutes a DirectDeals offer to the Seller (the "Vendor") and shall become a binding contract upon the terms and conditions stated both herein and in the Purchase Order upon acceptance by the vendor by any expression of acceptance or commencement of performance, whichever occurs first. Any terms and conditions proposed by the vendor in acknowledging or accepting DirectDeals offer that differs from or in addition to the conditions outlined in the Purchase Order shall not be binding upon DirectDeals. They shall be void and of no effect except to the extent expressly accepted in writing by DirectDeals authorized procurement representative. This Purchase Order and any attachments constitute the entire agreement between the parties. No waiver, modification, or addition to the terms of the Purchase Order shall be valid unless in writing and signed by the parties. "Deliverables" means the goods, materials, products, software, technical data, intellectual property, drawings, personal property, personnel, services, or items identified and/or listed in the Purchase Order for DirectDeals, Inc., including its wholly-owned subsidiaries (collectively "DirectDeals") internal use and or resale to DirectDeals customers.
Payment and Prices
DirectDeals shall not be billed at prices higher than those stated on the Purchase Order. Unless otherwise specified, the price includes all charges for packing, hauling, storage, and transportation to the point of delivery. The vendor shall pay all delivery charges in excess of any delivery charge DirectDeals has agreed to. The price includes all taxes except state or local sales or use tax or similar taxes, which the vendor must legally collect from the DirectDeals. Such taxes, if any, shall be separately stated in the vendor's invoice and paid by the DirectDeals unless an exemption is available. The vendor agrees that any price reduction made with respect to the items covered by the Purchase Order after its placement but before payment shall apply to the Purchase Order. Unless different payment terms are expressly stated on the Purchase Order, payment terms shall be within sixty (60) days of the date of the DirectDeals' receipt or vendor's correctly presented invoice. A "correctly presented" invoice shall contain the purchase order number sent to the billing address associated with the purchase order. The vendor represents that prices quoted to or paid by the DirectDeals shall not exceed current prices charged to any other vendor customer for deliverables that are the same or substantially similar to and in the same or substantially similar quantities as the Deliverables. Vendor shall refund, or DirectDeals may set off against subsequent invoices any amounts paid by the DirectDeals in excess of such price(s).
Delivery
Product or service substitutions will not be accepted. The Deliverables must be shipped complete by the date requested but not be shipped more than one week before the time or times specified herein without DirectDeals' prior written approval. When more than one shipment is necessary against any Purchase Order, indicate "Final Shipping" on shipping papers and invoice accompanying the last shipment in the Purchase Order. The vendor shall not ship excess quantities without the DirectDeals' prior approval. DirectDeals shall not be obligated to accept untimely, excess, or under shipments unless otherwise provided. Such shipments in whole or in part may, at DirectDeals' option, be returned to the vendor or held for disposition at the vendor's expense and risk. The vendor's invoice shall describe the items, state the Purchase Order Number, and be attached to the original bill of lading or another shipping receipt.
Changes
DirectDeals may change drawings, specifications, quantities, delivery schedules, or methods of shipment or packaging of any goods at any time. If such changes result in an increase or decrease in cost, an equitable adjustment of price and delivery schedules may be made, or the DirectDeals may, at its option, terminate the Purchase Order if an agreement on an adjustment cannot be reached. The vendor must assert claims for adjustment within ten days of the change order.
Manufacturer Warranties
DirectDeals is committed to providing customers with genuine, brand-new products sourced from legitimate sources and authorized distributors. Every physical product we sell is in its original, factory-sealed packaging, ensuring authenticity and quality. However, some manufacturers engage in restrictive warranty practices, refusing to honor their warranties for products purchased from independent resellers, even when those products are 100% new, legitimate and even drop shipped from their distribution channels. DirectDeals holds authorized reseller status with certain manufacturers, allowing us to offer full manufacturer-backed warranties on those products. However, for some manufacturers, we may not hold an official reseller authorization, despite selling the exact same, 100% genuine and new products as any authorized reseller. Unfortunately, some manufacturers refuse to honor their own product warranties for items purchased outside of their “authorized reseller” network, even when the product is factory-fresh, never opened, and sourced through the very same legitimate distribution channels. DirectDeals understands the manufacturer's struggle against counterfeit products, however, DirectDeals believes that this practice is an underhanded way for manufacturers to avoid honoring their own product guarantees, ultimately shifting the burden of product defects onto consumers. While we strongly disagree with such policies, we want our customers to be fully informed about these manufacturer-imposed restrictions before making a purchase. Manufacturer Warranty Limitations: While many manufacturers will honor their factory warranties regardless of where a product is purchased, some manufacturers limit their warranty coverage only to products sold through their own “authorized resellers.” This means that: Even if you purchase a brand-new product from DirectDeals, some manufacturers may refuse to honor their factory warranty solely because we are not part of their “authorized reseller” program. These restrictions have nothing to do with the product’s authenticity or condition—the product is still factory-sealed, new, and sourced from legitimate distribution channels. Manufacturers that impose these restrictions often use “authorized reseller” policies to limit competition and discourage price transparency in the marketplace. At DirectDeals, we strongly believe that a manufacturer should stand behind its product, regardless of where it was purchased. However, because we have no control over the warranty policies of manufacturers, we want to clearly disclose that manufacturer warranties are their sole responsibility. Even though DirectDeals is not responsible for manufacturer warranty enforcement, we take customer satisfaction seriously and will assist to the fullest extent possible in the event of a product issue: 30-Day Return Policy: DirectDeals will honor all returns under our standard 30-day return policy, regardless of whether a manufacturer chooses to honor its warranty. If a product is defective within the return window, customers may initiate a return request through DirectDeals, subject to our standard return conditions. Manufacturer Warranty Assistance: If a warranty issue arises outside the DirectDeals return window, we will help customers contact the manufacturer and provide any necessary proof of purchase to assist with the claim. While we cannot force a manufacturer to honor its warranty, we will work with customers to navigate the warranty claim process. Customer Acknowledgment: By purchasing from DirectDeals, customers understand that manufacturer warranties are controlled solely by the manufacturer and that some manufacturers may refuse to honor their warranties for products not purchased from an “authorized” reseller. DirectDeals is not responsible for manufacturer-imposed warranty limitations but will always stand by its return policy and customer support commitments. Vendor Warranties
The vendor warrants that all deliverables will conform to applicable specifications, instructions, drawings, and data and that samples will be merchantable, of good material and workmanship, free from defects, and fit and sufficient for the intended purpose. The vendor further warrants that any software licenses provided are genuine, legitimate, authorized for transfer, and do not infringe upon any copyrights, trademarks, or other intellectual property rights before or after their sale to DirectDeals. Additionally, the vendor warrants that any software or licenses provided will comply with all applicable data privacy and protection laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable. The vendor shall implement and maintain appropriate security measures to protect any personal data processed under this agreement and promptly notify DirectDeals of any security breaches. The vendor warrants that the use, resale, or distribution of the Deliverables, including software licenses, will not infringe or violate any intellectual property rights of any third party. If any third party asserts a claim of infringement, Vendor shall, at its expense, indemnify, defend, and hold harmless the DirectDeals, its directors, officers, employees, affiliates, subsidiaries, agents, customers, and end users from any and all damages, liabilities, costs, and expenses (including legal fees) resulting from such claims. The vendor acknowledges and agrees that in no event shall DirectDeals be liable for any indirect, consequential, incidental, punitive, or special damages, including but not limited to lost profits, loss of business, or damages resulting from loss of use, data, or software, even if DirectDeals has been advised of the possibility of such damages. In the event of any breach of warranty, DirectDeals, at its sole discretion, may require the vendor to promptly repair, replace, or refund the purchase price of any deliverables, including software licenses, that do not conform to the warranties set forth herein, without limiting any other rights or remedies available to DirectDeals under law or equity. The warranties shall survive inspection, acceptance, and payment for the deliverables. They shall remain in full force and effect for no less than three (3) years after delivery or the useful life of the deliverables, whichever is longer. DirectDeals reserves the right to audit the vendor's records and practices to ensure compliance with the warranties outlined in this agreement, including the authenticity and legality of software licenses, upon reasonable notice and during regular business hours. The vendor shall, at its expense, indemnify, defend, and hold harmless DirectDeals, its directors, officers, employees, affiliates, subsidiaries, agents, customers, and end users from any and all loss, damages, or liability (including, without limitation, reasonable legal fees and costs) arising out of or resulting in any way from any defect in the deliverables, or from any act or omission of the vendor, its agents, employees, or permitted subcontractors in connection with the deliverables. This indemnification shall be in addition to the vendor's warranty obligations.
Inspection and Tests
All goods ordered hereunder will be subject to inspection and testing by DirectDeals to the extent practicable at all times and places, including the period of manufacture and, in any event, before acceptance. Such goods will be subject to final inspection and acceptance by DirectDeals during a reasonable timeframe following delivery to DirectDeals. It is expressly agreed that inspections and payments before delivery will not constitute final acceptance. If the goods delivered do not meet the specifications, fail or are disallowed or rejected by the Manufacturer, or otherwise do not conform to the requirements of the Purchase Order. In that case, DirectDeals shall have the right to reject such goods. Goods delivered and rejected in whole or in part may, at the option of DirectDeals, be returned to the vendor or held for disposition at the vendor's risk and expense. DirectDeals will have the right, but not the obligation, to examine the vendor's records to determine compliance with the terms of the Purchase Order. Should a compliance review be performed, DirectDeals or its duly designated representatives will provide reasonable notice to the vendor, and the records may be examined only during regular business hours. The customer will bear all costs of the audit. The right to audit shall expire 18 months after the expiration or termination of the Purchase Order.
Buyer's Property
Title to and right of immediate possession of any property, including without limitation, patterns, tools, jigs, dies, equipment, or materials furnished or paid for by DirectDeals shall remain with DirectDeals. The vendor shall provide no articles made therefrom to any other party without DirectDeals' prior written consent. The vendor shall keep adequate records of such property, which shall be made available to DirectDeals upon request, and shall store, protect, preserve, repair, and maintain such property in accordance with sound industrial practice, all at the vendor's expense. Unless otherwise agreed to by DirectDeals, the vendor shall ensure b DirectDeals' interest in such goods or assets against all risks of theft, loss, or damage (including extended coverage). Copies of certificates of insurance evidencing this coverage will be furnished to DirectDeals on demand if DirectDeals property becomes lost or damaged to any extent from any cause while in the vendor's possession; the vendor agrees to indemnify DirectDeals or replace such property at the vendor's expense, at DirectDeals request. After the goods requested by DirectDeals in the Purchase Order for which DirectDeals property was required, the vendor shall request disposition instructions for all such property or the remainder thereof, whether in its original or semi-processed form. The vendor agrees to make such property available to DirectDeals at DirectDeals' request, in the manner requested by DirectDeals, including preparation, packing, and shipping as directed. Expenses for preparation for shipment will be charged to the vendor's account, and shipment shall be made at the F.O.B. DirectDeals facility.
Drawings and Specification Review
If, during the term of the Purchase Order, DirectDeals representatives review drawings, specifications, or other data developed by the vendor in connection with the Purchase Order and make suggestions or comments or approve such documents and data, such action is only an expression of opinion by DirectDeals. It shall not relieve the vendor of any responsibility for the reliability, quality, output rate, cost, delivery, performance, or any other requirements of the Purchase Order.
The vendor shall keep confidential all information, drawings, specifications, or data furnished by the customer or prepared by the vendor specifically in connection with the performance of the Purchase Order and shall not divulge or use such information, drawings, specifications, or data for the benefit of any other party. Except as required for the efficient performance of the Purchase Order, the Vendor shall not make copies or permit copies to be made without DirectDeals' prior written consent. Vendor shall not use, directly or indirectly, any such data or any information derived for any purpose other than to perform the Purchase Order without obtaining DirectDeals' written consent. The vendor shall return all information, drawings, specifications, or buyer's data upon termination of this agreement or buyer's demand.
Use of Information
Vendor agrees that all information heretofore or hereafter furnished or disclosed to Buyer by Vendor in connection with the placing or filling of the Purchase Order is furnished or disclosed as a part of the consideration for the Purchase Order, that such information is not unless otherwise agreed to by buyer in writing, to be treated as confidential or proprietary. That vendor shall assert no claims because of the use or disclosure of such information by the customer, its assigns, or its customers.
Advertisements
The vendor shall not advertise or publish that it has furnished DirectDeals or contracted to provide DirectDeals with the goods or services mentioned herein without DirectDeals' prior written consent. Vendor shall not disclose any details concerning the Purchase Order to any party except as may be otherwise provided.
Tooling
Unless otherwise specified in the Purchase Order, all tooling and all other articles required for the performance hereof shall be furnished by the vendor shall be maintained in good condition and replaced when necessary at the vendor's expense, and if provided by DirectDeals, returned to DirectDeals upon demand.
Termination
DirectDeals may terminate the performance of the work under the Purchase Order in whole at any time or from time to time in part by written notice to the vendor. Upon receipt of such notice, the vendor shall, unless the notice directs otherwise, immediately discontinue all work and the placing of all orders for materials, facilities, and supplies in connection with the performance of the Purchase Order and shall proceed to cancel all existing orders promptly and terminate all subcontracts insofar as such orders or subcontracts are chargeable to the Purchase Order.
Upon the termination of work under the Purchase Order, full and complete settlement of all claims of the vendor concerning the terminated work shall be made. As compensation to the vendor for such termination, unless such termination is the default of the Vendor, DirectDeals shall pay the vendor the percentage of the total order price corresponding to the proportion of the amount of work completed on the date of termination to the total work to be done, that is not recoverable in the ordinary course of vendor's business, as vendor's total compensation for the work completed under the Purchase Order.
Upon buyer's payment to the vendor in accordance with this paragraph, title to all equipment, materials, work-in-progress, finished products, plans, drawings, specifications, information, special tooling, and other things for which the vendor has paid such vest in DirectDeals. Nothing contained in this paragraph shall be construed to limit or affect any remedies by the vendor which DirectDeals may have as a result of default.
Default – Cancellation
DirectDeals reserves the right to cancel any purchase order under the following circumstances without any liability to DirectDeals:
- Insolvency of the vendor.
- The vendor is filing a voluntary bankruptcy petition.
- The filing of an involuntary petition to have the vendor declared bankrupt.
- The appointment of a Receiver or Trustee for the Vendor.
- The execution by the vendor of an assignment for the benefit of creditors,
- If the vendor fails to perform as specified herein.
- If the vendor breaches any of the terms hereof.
- If the vendor fails to deliver the Deliverables within the specified time frame or in accordance with any agreed-upon delivery schedules.
- If the vendor provides any deliverables, including software licenses, that are not genuine, legitimate, authorized for transfer, or infringe upon intellectual property rights.
- If the vendor fails to comply with applicable laws, regulations, or industry standards, including but not limited to data privacy, export controls, or environmental laws.
- If the vendor breaches any data security, privacy, or confidentiality obligations or fails to implement adequate security measures to protect personal or proprietary data.
- If the vendor has made any false or misleading statements, representations, or warranties regarding the Deliverables or the vendor's qualifications, financial condition, or business practices.
- A material change in the vendor's business operations, including but not limited to mergers, acquisitions, or restructuring, that adversely affects the vendor’s ability to perform under the purchase order.
- If the vendor's ability to perform under this agreement is materially impaired due to force majeure events, including but not limited to natural disasters, acts of terrorism, government action, or labor strikes.
- If the Deliverables fail to meet the quality standards, specifications, or certifications as outlined in the purchase order or in accordance with applicable industry standards,
- If the vendor fails to maintain the necessary insurance coverage as required under the terms of this agreement or any applicable law,
- If the vendor fails to provide any requested compliance certifications, documentation, or other information necessary to verify compliance with the terms of the purchase order or applicable regulations,
- If the vendor fails to remedy any defects, breaches, or non-compliance issues within a reasonable time frame after receiving notice from DirectDeals.
- If there is a material change in import/export regulations, tariffs, or government-imposed restrictions significantly impacting the cost or feasibility of fulfilling the purchase order.
Should the vendor breach any terms of this agreement or provide any cause for DirectDeals to cancel, DirectDeals reserves the right, without any liability to the vendor, upon giving the vendor written notice, to (i) cancel the purchase order in whole or in part, and hold the vendor liable for all damages, losses, and liabilities incurred by DirectDeals as a direct or indirect result of the vendor's breach, or (ii) obtain the goods or services from an alternative source, with any excess costs incurred thereby chargeable to the vendor if such deficiencies are not remedied. These remedies are cumulative and in addition to any other rights or remedies available at law or in equity. The remedies herein shall be cumulative in addition to any other remedies provided at law or in equity.
Force Majeure
Neither party shall be liable for defaults or delays due to Acts of God or the public enemy, acts or demands of any Government or any Governmental agency, strikes, fires, floods, accidents, or other unforeseeable causes beyond its control and not due to its fault or negligence. Each party shall notify the other in writing of the cause of such delay within five (5) days after the beginning thereof.
In addition to Acts of Nature, DirectDeals shall not be liable for any delays or failures in performance caused by events beyond its reasonable control, including but not limited to cyberattacks, data breaches, third-party service interruptions, internet service provider failures, or other digital or electronic threats. During such events, DirectDeals' obligations will be suspended for the duration of the event without liability. DirectDeals will make reasonable efforts to notify affected customers within five (5) business days of the onset of the event. They will work to resume normal operations as soon as feasible after the event concludes.
Compliance with the Law
The vendor shall fully comply with all applicable federal, state, and local laws, regulations, and ordinances in the performance of this agreement, including, but not limited to, those governing employment practices, taxation, export control, intellectual property (including copyright and trademark laws), data protection, and environmental standards.
Customs
Upon request, the vendor will promptly provide DirectDeals with a statement of origin for all Deliverables and United States Customs documentation for deliverables wholly or partially manufactured outside the United States.
Indemnification
By using the DirectDeals platform, users agree to indemnify, defend, and hold harmless DirectDeals, its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, including legal fees, arising out of or related to: (a) their use of the Site or violation of these Terms and Conditions; (b) third-party claims, including intellectual property infringement claims, arising from their actions on the platform; or (c) any violation of applicable law by the user. Users further agree to cooperate fully in the defense of any claims brought against DirectDeals that arise from their actions, including providing any necessary information, documentation, or testimony to support DirectDeals' defense. This indemnification obligation will survive the termination of the user's account or cessation of use of the Site.
The vendor will defend, hold harmless, and indemnify DirectDeals from and against any liability and expenses (including, without limitation, attorney and other professional fees and disbursements) arising from or in connection with any damages, injuries, or third-party claims or demands to recover for personal and business harm, trademark or advertising injury or infringement, death, or property damage caused by or arising out of any of the Deliverables (regardless of whether such claim or demand arises under tort, negligence, contract, warranty, strict liability or other legal theories), except to the extent such injury, damage or loss results from buyer's negligent actions, alteration or misuse.
Insurance
If the Purchase Order contemplates the provision of services by the vendor, the vendor shall maintain and keep in force at its expense, the following insurance at limits reasonably requested DirectDeals: Commercial General Liability (including products and contractual liability), Commercial Automobile, Worker's Compensation, and Professional Liability. Vendor shall provide a Certificate of Insurance DirectDeals to verify such coverage, which shall provide at least 30 days' Notice of Cancellation.
Intellectual Property Indemnification
The Vendor shall indemnify and save harmless DirectDeals, its successors, assigns, customers, or users of its products, from and against all loss, liability and damage, cost and expense (including reasonable attorney fees), resulting from any claim that the Manufacturer, use, sale or resale of any deliverables supplied under the Purchase Order infringe any patent or patent rights, trademark, copyright or other intellectual property rights of a third party. Vendor shall, when notified, defend any action or claim of such infringement at its own expense.
Assignment
Vendor may assign neither the Purchase Order nor any rights or obligations therein, nor may the Vendor delegate the performance of any of its duties hereunder without DirectDeals prior written consent.
Applicable Law and Jurisdiction
The validity, interpretation, and performance of these terms and conditions shall be governed by the laws of the State of Texas without reference to conflict of laws principles. The parties agree that any action related to this agreement shall be in the venue of the Federal District Court or the Superior Court for the State of Texas, and the parties hereby irrevocably commit to the jurisdiction of these courts.
Attorneys' Fees
In the event there is any dispute concerning the terms of this agreement or the performance of any party. Any party retains counsel to enforce any of the provisions of this agreement or assert the terms of this agreement in defense of any suit filed against the said party. Each party shall be solely responsible for its costs and attorney's fees incurred in connection with the dispute, irrespective of whether or not a lawsuit is commenced or prosecuted to a conclusion.
Invoices and Notices
All correspondence and invoices covering the Purchase Order must be addressed to the DirectDeals Purchasing Department at the address indicated on the Purchase Order. The parties agree that for any transactions subject to the Purchase Order, facsimile signatures shall be accepted as original signatures, orders may be transmitted electronically, and any document created according to the Purchase Order may be maintained in an electronic document storage and retrieval system, a copy of which shall be considered an original. Neither party shall raise any objection to the authenticity of the Purchase Order or any document created hereunder based on using a facsimile signature, electronic order, or a copy retrieved from an electronic storage system.
Severability
In case any one or more provisions contained in the Purchase Order shall be invalid, illegal, or unenforceable in any respect, the validity, legality, or enforceability of the remaining provisions contained herein shall not in any way be affected or impaired thereby.
Title
With the exception of software not specifically developed for DirectDeals under the Purchase Order, (i) all Deliverables shall be the sole and exclusive property of DirectDeals and where applicable, shall be considered "works made for hire" under the U.S. Copyright Act (Title 17, United States Code), and all intellectual property, proprietary and industrial rights associated with deliverables shall be owned exclusively by DirectDeals; (ii) by the Purchase Order, Vendor assigns to DirectDeals for no additional consideration all such rights to the deliverables, including the right to any extensions and renewals of such rights; and (iii) if requested by DirectDeals, Vendor shall, without additional consideration, sign a separate written assignment of such rights to DirectDeals or any other document necessary for DirectDeals to establish, maintain or enforce such rights in the Deliverables.
Hazardous Chemicals and Hazardous Materials
Prior to shipment or transfer of any hazardous chemical(s), as defined by regulations promulgated pursuant to the Occupational Health and Safety Act ("OSHA"), the vendor shall provide DirectDeals with a complete, up-to-date Material Safety Data Sheet and shall properly mark such hazardous chemical(s) with a label satisfying the requirements of OSHA's Hazard Communication Standard (29 CFR Part 1910.1200 et seq.). Any shipment or transfer by the vendor of any hazardous material(s) (as defined by regulations promulgated by the U.S. Department of Transportation ("DOT") and Appendix A of Federal Standard number 313A) shall be conducted consistent with the requirements of DOT regulations promulgated at 40 CFR Part 171 et seq.
Limitation of Liability
In no event shall DirectDeals be liable for any incidental, indirect, special, consequential, or punitive damages, even if DirectDeals knew or should have known of the possibility of such damages. The sale, agreement to sell, purchase, or transfer of products or services to or from DirectDeals constitutes your acknowledgment and agreement to the entire content of the terms and conditions outlined in this document.
In no event shall DirectDeals' total liability for any claims arising out of or relating to these Terms exceed the total amount paid by the customer for the specific product or service that gave rise to the claim. DirectDeals shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost profits or business interruption, even if DirectDeals has been advised of the possibility of such damages.
Dispute Resolution
At DirectDeals, we are dedicated to providing our customers with a seamless and positive experience. In the unlikely event of a dispute or claim related to your use of DirectDeals properties, products, or services or any transactions conducted through DirectDeals, we have a structured arbitration process to resolve such matters efficiently and fairly. Disputes will be resolved through binding arbitration, waiving the right to court proceedings.
All disputes or claims connected to your use of DirectDeals properties, including any products or services provided by DirectDeals or its properties or website, will be settled through binding arbitration and not in a court of law, except for claims eligible for small claims court. Use of the DirectDeals website constitutes your acknowledgment and agreement to forgo other dispute resolution methods like court actions or administrative proceedings.
All disputes arising under these Terms shall be resolved exclusively through binding arbitration in San Antonio, Texas, in accordance with the rules of the American Arbitration Association. Users agree to waive the right to participate in any class action lawsuit or class arbitration. By using this Site, users agree to resolve disputes individually, and any claims arising under these Terms must be brought in their individual capacity. This arbitration provision does not apply to claims eligible for small claims court.
Notwithstanding the arbitration requirement, DirectDeals reserves the right to seek injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or enforce any other obligations under these Terms.
Termination of Use
You remain responsible for any orders placed or charges incurred before such termination. Additionally, we retain the authority to modify, suspend, or cease any or all site components at any time without advance notice. We reserve the right to terminate your account or access to the site at our discretion.
Amendments
We reserve the right to change these terms without notice. Users are responsible for reviewing updates.
DirectDeals reserves the right to modify, update, or discontinue any product or service without prior notice. Customers are not entitled to any compensation or refund due to such changes.
DirectDeals reserves the right to modify, suspend, or discontinue any aspect of its services. Customers will not be entitled to any compensation or damages in case of modification, suspension, or discontinuation of any service.
